LISTERKEYS LLC hereby designates Bluevine Inc. (Routing: 125109019) as the primary depository and financial institution for all operating funds, business accounts, and LLC financial instruments.
The following persons are hereby designated as authorized signatories on all LLC accounts: Mark Lister Opina (CEO) and Aaron Keys-Rodgers (COO). Both members are authorized and no single member may act unilaterally on transactions exceeding $2,500.

This Intellectual Property Assignment Agreement (“Agreement”) is entered into by and between Mark Lister Opina and Aaron Keys-Rodgers (collectively “Assignors”) and LISTERKEYS LLC (“Company”).
WHEREAS, the Assignors have developed and contributed to the development of certain software platforms known as Chronicle EHR (an electronic health record and care workflow platform) and Chronicle Home (a family-facing care coordination portal), hereinafter collectively the “Platforms”;
WHEREAS, the Assignors also contributed to the Messaging App (Portal) — AKR Messenger, a secure messaging platform (akr-messenger-9274.web.app), and the NNP Form Library (424 forms), and the NNP Site Build (96 pages at nursenavigatorspro.com), hereinafter collectively “Related IP”;
WHEREAS, the parties desire that all intellectual property rights in and to the Platforms and Related IP be irrevocably vested in and owned by the Company;
The Assignors hereby irrevocably assign to LISTERKEYS LLC all right, title, and interest in and to the Platforms and Related IP, including all copyrights, trade secrets, patents, trademarks, and other intellectual property rights, in all jurisdictions worldwide, in perpetuity, without reservation.
